10.50 Panel: Go vernance of State-owned enterprises - at the threshold of changeovernance of State-owned enterprises has a dominant impact on the entire practice in this field in Slovenia and is therefore of paramount importance. The state had not yet managed to withdraw from the economy when Slovenia was faced with the global financial crisis. Many companies will continue to remain owned by the State; however the State has gained an even greater role. Due to the financial crisis Governance of SOE has become interesting in many countries worldwide as well, where so far the dominant influence of the State was not the case. For Slovenia, there is a challenge for regulation in this area in accordance with OECD Guidelines for State-owned enterprises and that brings the necessary changes in the regulation of this area following the example of other countries. Will Slovenia be able to take advantage of such opportunities to raise the quality of governance in these companies? What is the practice in other practice?

12.40 – 14.30 Panel: The effectiveness of self-regulations - Recommendations and corporategovernance codes in the EU and Slovenia
Both the EU and Slovenia formulated the type of codes and recommendations which would hopefully effectively regulate CG issues. At European level ecoDa is preparing European CG Principles for Unlisted Companies. In April 2009 the European Commission presented two new recommendations on remuneration regimes for listed companies and financial institutions in Member States, requiring not only disclosure and decision processes but also the structure and substance of remuneration. Many EU Member States have already changed the legal basis for directors’ remuneration. How will we be able to build a system of remuneration, which will be linked to the long-term interests of a company and what will be the role of shareholders deciding on Remuneration Policy? Governance of banks and financial institutions is under great supervision and regulations. Are they well regulated in times when they play the most important role in revitalizing the economy? What are the most important issues about the role of Government in it? Slovenia is in the course of revising the CG Code as the most important autonomous legal document in the area of Corporate Governance. Many of the provisions, which were until recently in the code, and other recommendations, are included in the legislation now, the standards are rising, but our practice always brings new challenges and problems. Is the autonomous regulation by codes effective enough?
